Delegating control of company resources to those who don’t own a stake in them has often been used to protect the interests of owners and investors. In most large firms, this takes the form of a board of directors that ratifies key business decisions. Researchers Eugene F Fama and Michael C Jensen say this division of control in terms of making of decisions and overseeing their implementation by firms aids in their survival.
