New Delhi [India], August 25Blue Cloud Softech Solutions Ltd has received in-principle approval from its Board of Directors to evaluate and negotiate the proposed acquisition of up to 100% equity in US-based healthcare technology company CareTech AI Inc., along with its wholly owned subsidiaries CareCareer Tech LLC and Envision NJ LLC.

The decision was taken at the Board meeting held on August 24, 2026. The proposed transaction is expected to be structured through a share swap via preferential allotment of equity shares of Blue Cloud Softech, subject to due diligence, independent valuation, a fairness opinion and necessary corporate, shareholder, stock exchange and regulatory approvals.

CareTech AI: US Healthcare Technology Platform

CareTech AI is a US-based, AI-first healthcare technology and services company focused on healthcare software, analytics, IoT applications, connected-care solutions and workflow automation.

Through CareCareer Tech LLC, the company operates an AI-enabled healthcare workforce platform serving acute, post-acute, behavioural health, school and correctional healthcare systems in the US. Its other subsidiary, Envision NJ LLC, provides enterprise automation and orchestration solutions.

According to figures indicated by CareTech AI management, the Target Group reported consolidated revenue of approximately $80.2 million for calendar year 2025.

Revenue for the seven months ended July 31, 2026 stood at approximately $67.7 million, while management has estimated full-year calendar 2026 revenue at around $116 million.

The company has clarified that these figures are subject to independent verification as part of the due diligence process. CPA-reviewed financial statements are expected to be furnished to Blue Cloud Softech and its advisors.

CareTech AI’s operating footprint includes 5,000+ credentialed clinicians, 490+ active client sites and more than 80 government contracts, according to the company profile provided by management. Its client network covers hospitals, health systems, post-acute and rehabilitation facilities, correctional healthcare, behavioural health, schools and home-care services.

Between months 12 and 24, Blue Cloud expects to explore the launch of remote healthcare management and AI-diagnostic offerings across the CareTech AI customer base and potentially extend the technology into its India and Africa healthcare programmes.

For investors, the transaction remains at a preliminary stage. No letter of intent, term sheet or binding agreement has been executed, and the consideration as well as the number of shares to be issued have not yet been determined.
